Demos may be recorded for quality assurance, training, or demonstration purposes. We will notify you and obtain consent before recording, per state call recording laws. By proceeding, you consent to the recording. You may decline and still participate, where feasible. Recordings are retained only as necessary pursuant to applicable laws.

c. No Obligation

Requesting or participating in a Demo does not obligate you to purchase or use our Services, nor does it create a client relationship unless a separate offline contract is executed by you and us.

3. Intellectual Property

a. Ownership

All content on the Site—including text, graphics, logos, software and copyrights—and the technology underlying our Services are owned solely and exclusively by Clarion Health or our licensors and protected by patent, copyright, trademark, and other intellectual property laws.

b. Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and participate in the Demo for informational and evaluation purposes only. You may not reproduce, distribute, or create derivative works from our content, intellectual property or technology without our express written permission.

4. Client Relationships

If you become a client and use our Services for your organization, the terms of that relationship will be governed by a separate agreement between you and Clarion Health. These Terms apply only to your use of the Website and Demo.

TO THE FULLEST EXTENT PERMITTED BY LAW, CLARION HEALTH MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE WEBSITE OR DEMO. THE WEBSITE AND DEMO ARE PROVIDED "AS IS" AND “AS AVAILABLE.” WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

b. No Professional Advice

INFORMATION ON THE SITE OR PROVIDED DURING A DEMO IS FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE MEDICAL, LEGAL, OR PROFESSIONAL ADVICE.

c. Demo Limitations

DEMOS ARE INTENDED TO SHOW THE CAPABILITIES OF OUR SERVICES. FEATURES DEMONSTRATED MAY NOT REFLECT THE FINAL PRODUCT OR MAY BE CUSTOMIZED FOR SPECIFIC CLIENTS UNDER SEPARATE AGREEMENTS.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CLARION HEALTH, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE WEBSITE, PARTICIPATION IN A DEMO, OR RELIANCE ON INFORMATION PROVIDED THEREIN. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THESE TERMS WILL NOT EXCEED $100.

You agree to indemnify and hold harmless Clarion Health and its affiliates, officers, directors, employees, and agents from any claims, losses, or damages (including reasonable attorneys’ fees) arising from your violation of these Terms or your use of the Website or participation in the Demo.

8. Termination

We may suspend or terminate your access to the Site or Demo at our sole discretion, with or without notice, if we believe you have violated these Terms or for any other reason.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of Delaware, without regard to its conflict of law principles. Disputes will be subject to the exclusive jurisdiction of the courts in New York, NY.
